2. Acceptance of Terms
By using our Website or Services, you confirm that you are:

- Authorized to enter into a binding agreement on behalf of yourself or the business you represent.

- AI chatbots and virtual assistants for web, WhatsApp and other channels
- Voice AI and outbound / inbound calling assistants
- Automation workflows (e.g., n8n-based integrations and process automation)
- AI-driven data analytics, reporting and predictive insights
- Computer vision and other AI-powered tools
- Consulting, implementation and managed AI services
The exact scope of work for each client may be defined in a separate proposal, quotation, or work order.
4. Client Responsibilities
You agree to:
- Provide true, accurate and complete information when requested.
- Provide timely access to data, systems and third-party tools required to deliver the Services.
- Use the Services in compliance with all applicable laws and regulations.
- Ensure that any content, data or instructions you provide are lawful and do not infringe third-party rights.
5. Third-Party Services & Integrations
Our Services may integrate with third-party platforms such as WhatsApp Business API providers, email and SMS gateways, CRMs, telephony platforms, AI model providers (e.g., OpenAI, ElevenLabs), and automation tools (e.g., n8n).
We are not responsible for the availability, performance or terms of use of any third-party services. Your use of such third-party tools is governed by their respective terms and policies.
6. Fees, Payments & Taxes
- Fees for Services will be communicated in advance through proposals, quotations or pricing plans.
- Unless otherwise stated, all fees are due in advance and are generally non-refundable.
- You are responsible for all applicable taxes, including GST, as per Indian law.
- We reserve the right to suspend or terminate Services for non-payment or repeated delays.
7. Intellectual Property
- All intellectual property rights in our Website, software, AI workflows, prompts, scripts, documentation, branding and related materials remain the property of Digisoft AI Solutions, unless explicitly transferred in writing.
- You receive a limited, non-exclusive license to use the Services and deliverables for your internal business purposes only.
- You must not copy, reproduce, resell, sublicense or reverse engineer any part of our proprietary systems or content without our prior written consent.
8. Client Data & Confidentiality
We may access or process data that you provide or that passes through the AI solutions configured for you. We treat such data as confidential and will use it only for:
- Providing and improving the Services
- Support and troubleshooting
- Security, monitoring and compliance
We will not sell your data. Limited access may be shared with trusted third-party providers strictly for service delivery, as described in our Privacy Policy.
9. Acceptable Use
You agree that you will NOT use our Website or Services to:
- Send spam, unsolicited bulk messages or abusive content
- Engage in fraud, scams, harassment or illegal activities
- Create or distribute hateful, defamatory, obscene or discriminatory content
- Generate or distribute deepfakes, deceptive content or misinformation
- Violate the terms of any integrated third-party platform (e.g., WhatsApp, email, telephony)
We reserve the right to suspend or terminate Services in case of violation of this acceptable use clause.
10. No Guarantees of Results
While we aim to provide high-quality AI and automation solutions, we do not guarantee:
- Any specific increase in revenue, leads or conversions
- That AI outputs will always be accurate, complete or error-free
- Continuous availability of third-party APIs or infrastructure
All AI outputs should be reviewed and used with human judgment, especially in sensitive or high-risk scenarios.
11. Limitation of Liability
To the maximum extent permitted by law, Digisoft AI Solutions and its owner will not be liable for any indirect, incidental, consequential or special damages, including loss of profits, data, goodwill or business opportunities, arising out of or related to the use or inability to use our Services.
Our total aggregate liability for any claim arising out of these Terms or the Services will not exceed the total amount paid by you for the Services in the three (3) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Digisoft AI Solutions and its owner from and against any claims, damages, losses, liabilities, costs and expenses (including legal fees) arising out of:
- Your misuse of the Services
- Your violation of these Terms or any applicable law
- Content or data provided by you to the Services
13. Service Modifications & Availability
We may modify, update or discontinue any part of the Website or Services at any time, with or without notice, to improve functionality, security or compliance.
14. Termination
We may suspend or terminate your access to the Services if:
- You breach these Terms
- You fail to pay applicable fees
- Your use of the Services creates legal or security risks
You may stop using the Services at any time. However, fees already paid are generally non-refundable.
15. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Delhi/NCR, India.
